Membership Agreement

Membership on the Green Sites Network is subject to the following terms and conditions. 

Membership Criteria

Members shall have web site(s) that fit into one of the three following categories:

1. Environmental Resource Site - A web site that contains resources for use by the general public relating to environmental issues including, but not limited to:
   1. Environmental advocacy sites;
   2. Links to environmental sites;
   3. Environmental news and/or news feeds;
2. Green Products Site - Sites that sell environmentally friendly products including, but not limited to:
   1. Products which are all natural;
   2. Products which are biodegradable;
   3. Products which are composed of at least 50% recycled material;
   4. Products which are an alternative to otherwise non eco-friendly products.
3. Environmentally Friendly Site - Web sites of companies that engage in environmentally friendly practices including, but not limited to:
   1. Utilizes a "green" facility or "green" practices in their operation, e.g. utilizes wind or solar power, uses recycled and/or recyclable and/or biodegradable materials on a regular basis, promotes environmentally responsible habits among their employees, partners, sub-contractors, etc (must have a written policy);
   2. Has a service fleet composed of no less than 50% of vehicles powered by a source other than gasoline or diesel fuel, e.g. natural gas, hydrogen, electricity, or is a hybrid;
   3. Has reduced their environmental impact at least 25% as compared to other similar companies;
   4. Can otherwise demonstrate having taken action to reduce their environmental impact.

Green Sites Network is owned and operated by CENLYT Productions-ms designs, hereinafter "CENLYT." Upon approval of membership application and receipt of payment of the applicable membership fee, CENLYT shall provide the member with the following:

1. A membership seal and appropriate link code for the member to placed on the member web site;
2. The announcement of the member's joining in the monthly newsletter, RSS Feed and What's New page;
3. For Sponsors and Partners, inclusion in all promotional material that your company is a sponsor or partner.
4. A listing under the heading chosen by the member, on Green Sites Network with a link back to the member's web site to appear as follows:

Web site designers and developers. Promotes environmental responsibility and awareness through several web sites.

Additionally, CENLYT shall promote Green Sites Network via search engines, newsletters and advertising, as an environmental resource thereby promoting its members and their web sites.

CENLYT reserves the right, at CENLYT's discretion, to change a member's category, edit its Company Description and/or Green Statement. Additionally, CENLYT makes no warranties or guarantees, expressed or implied, that membership will increase your web traffic, sales, or improve your site's ranking in search engines.

Note - Member listings are placed in alphabetical order by Web Name and not by the date received.

Member Obligation

As an approved member, you are obligated to:

1. Pay applicable membership as outlined below;
2. Provide accurate information for posting on Green Sites Network and immediately notify CENLYT of any changes in said information.
3. Place a membership seal on the home page or your member web site with the appropriate link code back to Green Sites Network as provided by Green Sites Network (the seal may also be placed on additional pages within the member site if so desired). You may not reduce the seal in size below 150 pixels square or alter the linking code nor may you use the attribute rel="nofollow" in any link codes;
4. Partners shall include Green Sites Network in all promotional material including, but not limited to: placement of "Partner" seal on web site and/or text stating "Partner - Green Sites Network" with a link back to Green Sites Network, and placement of "Partner" seal and/or approved text on all other promotional material;
5. Remove the member seal within 15 calendar days from all materials once membership is terminated.

As an approved member, you may:

1. Place the member seal on any promotional material (a .png image in the appropriate resolution will be provide upon request for print);
2. Advertise on Green Sites Network and in its monthly newsletter;
3. Submit press releases for posting on Green Sites Network as long as they are related to environmental issues.

As an approved member, you may not:

1. State that your company, web site and/or product(s) are endorsed or approved by Green Sites Network, CENLYT, its Partners, Sponsors or other members;
2. Place any reference to Green Sites Network, CENLYT, its Partners, Sponsors or other members on any site which is not "child safe," promotes pornography, violence, drugs, alcohol, illegal or immoral acts, or otherwise contains material which may be deemed offensive, such definition being at the sole discretion of CENLYT;
3. Mention Green Sites Network, CENLYT, its Partners, Sponsors or other members in any other manner not herein approved.

Membership Fee

While no fee is currently being charged for membership, other than Sponsors, an annual fee shall be implemented no later than January 1, 2009.

1. Sponsors - $1,200.00.
2. Non-profit members - $60.00. Must be certified non-profit in accordance with (26 U.S.C. § 501(c)) and listed on GuideStar.org or provide a tax exempt number upon request.
3. For profit members - $120.00 annually.

Invoices for the membership fee shall be sent via email to the Contact Email provided with a copy sent to the Company Email. Invoices shall be sent 30 days prior to membership renewal and due Net 15. Payment options will be PayPal, Google CheckOut or company check. The member listing shall be removed if payment is not received within 15 days of the renewal date. Membership shall be cancelled if payment is not received within 45 days of the renewal date.

Membership Cancellation

Cancellation by Member:
Membership may be cancelled at any time by the member. The membership fee shall not be refunded if membership is not cancelled within 30 days of the renewal date.
Cancellation by CENLYT:
CENLYT may cancel a membership at any time if the member has violated any terms or conditions of the membership agreement or has failed to pay its membership fee. In the case of the former, the membership fee shall not be refunded.

Legal Jurisdiction

In the event of legal proceedings arising from this agreement, all actions shall be governed by the laws of the Commonwealth of Pennsylvania and shall take place in Commonwealth Court located in Pittsburgh Pennsylvania, United States.

If there is a determination that any provision of these Terms of Use is invalid or unenforceable, that determination will not affect the rest of the Terms of Use and the Terms of Use shall be deemed amended to the minimum extent necessary to make them valid and enforceable.
